Bob represents
individuals and businesses in the manufacturing, distribution,
supply and service industries with respect to commercial transactions,
contracts, acquisitions, financings and day-to-day corporate counseling.
Additionally, Bob represents banks and financial institutions
on all types of lending transactions.
Bob has successfully represented and advised many closely held
and family owned middle-market businesses in a variety of ways,
including organizing new business ventures; structuring, negotiating
and closing merger and acquisition transactions; advising on shareholder
disputes; guiding companies through private equity and debt financing
transactions; and developing buy-sell agreements among business
owners. Bob has helped clients work through their business expansion
opportunities, shareholder and operating agreements, equipment
purchases, distribution and supply arrangements, and joint ventures.
His background in public accounting (CPA, 1992) and in business
adds value to his clients.
Bob also has significant experience in representing banks and
financial institutions on loan transactions. He has successfully
structured, negotiated and closed all types of lending transactions,
including revolving and term credit facilities, ESOP loans, industrial
development revenue bond financing, tax credit lending, real estate
mortgage loans, construction loans and asset-based loans. Bob
has successfully advised banks on a number of restructuring and
workout transactions.
